1. Acceptance of Terms

By accessing, browsing, registering an account on, or otherwise using the Fenixperience platform (“Platform”), you acknowledge, represent, and warrant that:

  • You have read, understood, and agree to be legally bound by these Terms of Service, the Privacy Policy, and any other policies, notices, or guidelines incorporated by reference (collectively, the “Agreement”).
  • You have the legal capacity and authority to enter into this Agreement under the applicable laws of your jurisdiction.
  • You consent to the collection, processing, storage, transfer, and use of your information as described in our Privacy Policy, in accordance with applicable UAE PDPL data protection laws.

If you do not agree to any provision of this Agreement, you must immediately discontinue access to and use of the Platform, and you may not create, maintain, or use an account.

2. Platform Services

Fenixperience provides a hybrid digital and in-person networking ecosystem designed to connect individuals, professionals, creators, and businesses. Our services include, but are not limited to:

  • User proUile and community interaction features
  • Professional and creative portfolios
  • Private and group messaging and communication tools
  • Event listings, hosting, and participation services
  • Ticketing, booking, and event access management
  • Secure online payment processing and subscription plans
  • B2B engagement, collaboration, and service-networking solutions
  • Tools and features to facilitate mentorship, coaching, learning, and professional growth

The Platform enables users to create, share, communicate, discover opportunities, attend or host events, purchase or sell services, and build meaningful personal and professional connections both digitally and ofUline.

3. Eligibility

You must be at least 18 years of age to access or use the Platform. Users under 18 may only use the Platform with the veriTied consent and supervision of a parent or legal guardian, who will be fully responsible for the minor’s use of the Platform.

By using Fenixperience, you represent and warrant that you:

  • Are legally capable of entering into binding agreements under applicable law
  • Will use the Platform solely for lawful, legitimate, and authorized purposes
  • Will not engage in fraudulent, harmful, abusive, or prohibited activities

To protect our users and comply with applicable legal and security requirements, Fenixperience may, at its sole discretion, request identity or age veriTication, including government-issued identiUication, digital identity veriUication services, or proof of guardian consent (for minors where applicable).

Failure to provide requested veriUication information may result in account suspension, restriction, or termination.

4. Account Accuracy, Security & Suspension

Users are required to provide and maintain complete, accurate, and up-to-date information when creating and managing their accounts. You are solely responsible for safeguarding your login credentials and ensuring they are not shared with any unauthorized person.

You agree to:

  • Maintain accurate personal and contact information
  • Protect your account credentials and access devices
  • Promptly notify Fenixperience of any suspected or actual unauthorized access, security breach, loss of credentials, or misuse of your account

Fenixperience reserves the right, at its sole discretion, to suspend, restrict, or terminate any account where:

  • False, misleading, or incomplete information is provided
  • Unauthorized or suspicious activity is detected
  • The account is involved in fraud, abuse, or violation of these Terms or applicable laws

You acknowledge that any activity performed through your account is deemed to be authorized by you unless reported otherwise.

5. Acceptable Use

Users must use the Platform responsibly and in compliance with all applicable laws. You agree not to engage in, encourage, or enable any activity that:

5.1  Content & Misrepresentation

  • Uploads, posts, transmits, or distributes harmful, offensive, abusive, defamatory, obscene, or unlawful content
  • Involves impersonation of any person, organization, or entity, or misrepresentation of your identity or afUiliation
  • Infringes upon intellectual property rights, privacy rights, publicity rights, or proprietary information of others

5.2  Security & System Integrity

  • Attempts to hack, breach, disrupt, interfere with, or compromise the security or integrity of the Platform, network, accounts, or systems
  • Deploys malware, spyware, viruses, bots, or other harmful code
  • Scrapes, extracts, copies, mines, indexes, or harvests data or content without authorization, including through automated tools or bots
  • Attempts to bypass access controls, authentication mechanisms, or security measures

5.3  Abuse & Illegal Use

  • Engages in spamming, phishing, scamming, harassment, stalking, or abusive behavior
  • Uses the Platform for fraudulent, illegal, deceptive, or unethical purposes
  • Facilitates unlawful activities, including money laundering, unauthorized Uinancial transactions, exploitation, or trafUicking

Violation of this policy may result in immediate suspension or termination of your account, removal of prohibited content, and where required, reporting to legal authorities.

Fenixperience reserves the right to investigate and take appropriate action regarding any suspected misuse or security threat.

6. User Content & Intellectual Property Ownership

Users may create, upload, post, submit, display, transmit, or share content on the Platform, including but not limited to proUiles, text, photos, videos, creative works, event information, messages, reviews, and portfolio materials (“User Content”).

You retain full ownership and intellectual property rights in your User Content. Fenixperience does not claim ownership over your content.

6.1  License to Use User Content

By submitting User Content to the Platform, you grant Fenixperience a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to:

  • Use, host, store, display, reproduce, modify (for formatting only), publish, and distribute User Content
  • Make your content available to other users in accordance with your selected visibility settings
  • Promote and operate the Platform, including marketing features that showcase public user proUiles or event listings

This license remains valid only while your content is available on the Platform and terminates when you remove your content or delete your account, except where content has been shared, used by other users, or archived for legal compliance or security reasons.

Fenixperience will never sell your personal content to third parties.

6.2 Public vs. Private Content

  • Content shared publicly can be viewed by all platform users and may be visible externally
  • Private messages, group chats, and non-public content are not shared publicly, except as legally required

6.3  User Content Responsibilities

You represent and warrant that your User Content:

  • Is your original creation or you have the legal right and required permissions to share it
  • Does not infringe on copyright, trademark, privacy, publicity, or other rights
  • Does not contain unauthorized personal data of others without consent

Users are solely responsible for their content and any consequences arising from sharing it.

6.4  Content Removal Rights

Fenixperience reserves the right to remove or restrict User Content that:

  • Violates these Terms or applicable laws
  • Infringes intellectual property rights
  • Poses a safety, security, privacy, or reputational risk

We may also preserve content for legal, regulatory, fraud-prevention, or law-enforcement obligations.

7. Privacy & Data Sharing

Fenixperience is committed to protecting your privacy and handling personal data responsibly. The collection, use, processing, storage, and sharing of your personal information is governed by our Privacy Policy and applicable UAE PDPL data protection laws.

By using the Platform, you acknowledge and agree that Fenixperience may collect and process certain personal and usage information for legitimate business purposes, including account creation, identity validation, safety, fraud prevention, service delivery, analytics, and platform improvement.

7.1  Data We May Share

We do not sell personal data. However, we may share information, where necessary, with:

  • Authorized service providers and processors supporting platform functionality (e.g., hosting, payments, communications, analytics, identity veriUication)
  • Business partners or event hosts when you interact with their events, services, or features
  • Professional & B2B connections you intentionally engage with through the Platform
  • Legal, regulatory, or government authorities, where required by law or to protect users from harm or fraudulent activity
  • Corporate afTiliates or successors, in the event of a merger, restructuring, or acquisition

Any data sharing is conducted under appropriate legal safeguards, including contractual, technical, and organizational security measures.

7.2  Cross-Border Data Transfers

To provide a global experience, personal data may be transferred to and processed in countries outside your jurisdiction. Where required, we implement UAE PDPL data transfer agreements, or other legally recognized mechanisms to ensure compliance and adequate protection.

7.3  User Control & Transparency

Users may have the right to:

  • Access, correct, or update their personal data
  • Request deletion or restriction of processing, subject to legal obligations
  • Withdraw consent where processing is based on consent
  • Manage privacy and communication settings within their account

All requests will be handled in accordance with applicable regulations and our Privacy Policy.

8. Payments, Subscriptions & Refunds

8.1 Payment Terms

By purchasing tickets, subscribing to services, or making any payment through the Platform, you authorize Fenixperience and its payment partners to process charges using your selected payment method. You agree to provide valid and accurate billing information and maintain sufUicient funds or credit for all transactions.

All prices are displayed in the applicable currency at the time of purchase and may be subject to taxes, transaction fees, and currency conversion charges, depending on your location and payment provider.

Fenixperience uses secure, PCI-compliant payment gateways and may require additional veriUication to prevent fraud and unauthorized transactions.

8.2  Subscriptions & Auto-Renewals

Certain services may be offered on a recurring subscription basis. By subscribing, you authorize automatic renewal and recurring charges unless canceled prior to the renewal date.

You may manage or cancel subscriptions through your account settings. Cancellation will take effect at the end of the current billing cycle unless otherwise stated.

8.3  Refund Policy

Refunds are subject to the type of purchase:

Ticketed Events Refunds permitted only in accordance with the event organizer’s policy displayed at booking
Fenixperience-hosted events Full or partial refunds may be issued at Fenixperience’s discretion when an event is canceled, rescheduled, or materially changed
Subscriptions / Premium Services No refunds for unused subscription periods. Future renewals can be canceled at any time
Digital Products / Services Non-refundable once delivered or activated unless required by applicable law
Fraud or Unauthorized Transactions Investigated and refunded if conUirmed unauthorized

Refunds, where approved, will be processed to the original payment method within a reasonable period, subject to bank and gateway timelines.

8.4  Chargebacks & Disputes

Users must Uirst contact Fenixperience to resolve billing issues before initiating a chargeback. Filing a chargeback without valid justiUication may result in suspension or termination of your account and recovery of costs associated with dispute handling.

If a chargeback is falsely initiated, Fenixperience reserves the right to recover the disputed amount and associated fees.

8.4 Event Organizer & Third-Party Payments

For events or services hosted by third-party organizers, Fenixperience acts as a facilitator only. Refunds and payment terms for third-party services are governed by the respective organizer’s policies, and Fenixperience is not liable for their decisions.

9. Platform Availability and Force Majeure

Fenixperience aims to provide reliable, uninterrupted access to the Platform; however, availability may be affected by factors outside our control. We do not guarantee that the Platform, services, or any features will be available at all times, error-free, or free from disruptions.

The Platform may be temporarily unavailable, slowed, or limited due to:

  • Maintenance, upgrades, or technical developments
  • System overloads or demand Uluctuations
  • Network, server, or infrastructure failures
  • Cybersecurity or fraud-prevention measures
  • Issues caused by third-party service providers or partners
  • Circumstances beyond our reasonable control (force majeure events)

We may suspend, restrict, or modify access to the Platform (in whole or in part) where necessary to safeguard operations, comply with legal obligations, or protect users and system integrity.

Fenixperience will make reasonable efforts to notify users of planned maintenance or signiUicant outages where feasible.

Users acknowledge that they access and use the Platform at their own risk, and Fenixperience will not be liable for any loss, damage, or inconvenience arising from the unavailability or limited functionality of the Platform, except where required by applicable law.

10. Disclaimer

The Platform, including all features, content, event listings, communications, recommendations, and services, is provided on an “as-is” and “as-available” basis. Fenixperience makes no representations or warranties, express or implied, regarding:

  • The accuracy, completeness, reliability, or availability of the Platform or its content
  • The quality, suitability, safety, or legality of events, services, users, or information shared on the Platform
  • The conduct, identity, intentions, or authenticity of any user, host, business, or third party
  • Continuous or error-free operation, or protection against loss, delays, interruptions, cyber-attacks, or unauthorized access

To the fullest extent permitted by law, Fenixperience disclaims all warranties, including but not limited to Uitness for a particular purpose, merchantability, performance, title, and non-infringement.

Users acknowledge that all interactions, communications, and engagements — online or inperson — are undertaken at their own risk. Fenixperience does not supervise, guarantee, or endorse any user-generated content, event, communication, recommendation, or business transaction facilitated through the Platform.

Nothing on the Platform constitutes professional, legal, Tinancial, safety, or psychological advice, and users should seek independent qualiUied advice where required.

Fenixperience is not responsible for loss, injury, damages, or liabilities resulting from:

  • Interactions between users, creators, organizers, or businesses
  • Event participation, travel, bookings, or on-site experiences
  • Misuse of information, system errors, operational disruptions, or third-party services

Some jurisdictions do not allow certain warranty exclusions; in such cases, this disclaimer applies to the maximum extent permitted by applicable law.

11. Limitation of Liability & Indemnity

11.1 Limitation of Liability

To the fullest extent permitted by applicable law, Fenixperience, its founders, afUiliates, directors, employees, partners, and service providers shall not be liable for any:

  • Indirect, incidental, consequential, punitive, exemplary, or special damages
  • Loss of proUits, revenue, business opportunities, goodwill, or data
  • Personal injury, property damage, or reputational harm
  • Delays, interruptions, system failures, or security breaches
  • Losses arising from third-party services, events, business interactions, or usergenerated content
  • Any decisions, actions, or outcomes based on information provided through the Platform

This applies whether claims arise from:

  • Contract, negligence, tort, strict liability, statutory duty, or any legal theory
  • Online or in-person interactions facilitated through the Platform

In no event shall Fenixperience’s total cumulative liability exceed the total amount paid by you to Fenixperience in the twelve (12) months preceding the claim, or USD $100, whichever is greater.

Some jurisdictions may not allow certain exclusions; in such cases, our liability is limited to the maximum extent permitted by law.

11.2  User Indemnity

You agree to defend, indemnify, and hold harmless Fenixperience, its afUiliates, officers, directors, employees, and partners from and against any claims, actions, damages, demands, losses, liabilities, costs, or expenses (including legal fees) arising out of or related to:

  • Your use of, access to, or activities on the Platform
  • Your participation in events or interactions with other users, online or ofUline
  • Your breach of these Terms or violation of any applicable law
  • Any content, information, or materials you submit or share
  • Your negligence, misconduct, fraud, or misrepresentation
  • Any disputes or transactions between you and third-party organizers, users, or businesses

Fenixperience reserves the right to assume exclusive defense and control of any matter subject to indemniUication, and you agree to cooperate fully.

12. Termination & Account Closure

12.1 User-Initiated Termination

You may close your account and stop using the Platform at any time by following the account cancellation process within your settings or by contacting our support team. Upon closure:

  • Your access to the Platform and services will end
  • Certain content or functionality may be immediately disabled
  • Some information may continue to be retained as required for legal, compliance, security, fraud-prevention, or audit purposes, in accordance with our Privacy Policy

You remain responsible for any outstanding payments, obligations, or actions taken prior to account termination.

12.2  Platform-Initiated Termination

Fenixperience may suspend, restrict, or terminate your account, access, or use of the Platform, with or without notice, if:

  • You violate or are reasonably suspected of violating these Terms or applicable law
  • Fraudulent, abusive, harmful, or suspicious activity is detected
  • Required to comply with legal, regulatory, or security obligations
  • Your conduct risks harming other users, partners, or the integrity of the Platform

We may also limit features or suspend services for maintenance, system upgrades, or business changes.

12.3  Effects of Termination

Upon termination for any reason:

  • Your right to access and use the Platform immediately ceases
  • Any licenses or permissions granted to you under these Terms terminate
  • Fenixperience may delete or restrict access to your data, content, and account information, subject to data retention obligations
  • Content already shared with other users, publicly posted, or used for event or messaging interactions may remain visible, consistent with privacy and legal requirements

Termination does not affect any rights or obligations intended to survive, including intellectual property rights, indemnity, dispute resolution, and limitation of liability.

12.4  Suspension & Investigation Rights

If suspicious activity or a breach is suspected, Fenixperience may temporarily suspend your account to investigate. Access may be restored or permanently terminated based on the outcome.

We reserve the right to refuse re-registration or future access to the Platform in case of repeated or serious violations.

13. B2B Services & Business Use

Fenixperience may provide specialized networking, event, marketing, partnership, and collaboration services to corporate clients, event organizers, brands, agencies, and other business entities (“Business Users”).

By accessing or using the Platform as a Business User, or by creating a business or organizational proUile, you represent and warrant that:

  • You are authorized to act on behalf of the organization you represent
  • You have legal authority to bind the organization to these Terms
  • All information submitted on behalf of the organization is accurate and up-to-date
  • Your business activities comply with all applicable laws, regulations, licensing requirements, and industry standards

Business Users must ensure that all employees, representatives, contractors, and agents acting on their behalf follow these Terms and any additional agreements applicable to business services.

13.1  Business Content & Activities

Businesses may publish event listings, services, offers, marketing content, or communications on the Platform. You are fully responsible for:

  • The accuracy and legality of any business information or promotional material
  • Compliance with advertising, consumer protection, Uinancial, and privacy laws
  • Secure handling of any third-party or customer data in accordance with data protection requirements
  • Ensuring no infringement of third-party intellectual property or contractual rights

Fenixperience reserves the right to review, remove, or restrict business content that violates these Terms, applicable law, or community standards.

13.2  Commercial Transactions

Where Business Users offer paid events, services, or promotions through the Platform, such transactions are strictly between the Business User and the purchasing user or organization.

Unless expressly stated in a separate written agreement, Fenixperience:

  • Is not a party to business-to-consumer or business-to-business transactions
  • Does not guarantee performance or quality of services offered by Business Users
  • Does not act as an agent, reseller, broker, or guarantor for business offerings

Business Users are responsible for their own billing, tax obligations, refunds, customer service, compliance, and dispute resolution.

13.3  Separate Commercial Agreements

Certain B2B services (e.g., enterprise plans, event hosting packages, sponsorships, API integrations, marketing campaigns, promotions, or premium business tools) may be subject to a separate commercial contract, proposal, service-level agreement, or pricing schedule.

Where such agreements exist, they take precedence over this clause to the extent of any inconsistency.

13.4  Indemnification

Business Users agree to defend, indemnify, and hold harmless Fenixperience from any claims, damages, losses, liabilities, penalties, or costs arising from:

  • Business activities, advertising, or content
  • Customer or third-party disputes
  • Breach of regulatory, licensing, or compliance obligations
  • Misuse of data or violation of privacy or IP rights

14. Dispute Resolution and Governing Law

These Terms shall be governed by and interpreted in accordance with the laws and regulations of the United Arab Emirates, without regard to conUlict-of-law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or its services shall be subject to the exclusive jurisdiction of the competent Dubai courts in the Emirate of Dubai, UAE.

Where allowed by law, parties agree to Uirst attempt resolution through good-faith negotiation and mediation before pursuing litigation.

Nothing shall restrict Fenixperience from seeking injunctive or equitable relief in any jurisdiction to protect its rights, intellectual property, data, or security interests.
